Welcome to Fleynex. These Terms & Conditions (the "Terms") govern your access to and use of the Fleynex website, applications and services (together, the "Platform"). The Platform connects learners ("Students") with independent tutors ("Teachers") and with education providers ("Education Companies") who offer lessons and courses.

By creating an account, accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Platform. If you use the Platform on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

"Account" means a registered user profile on the Platform.
"Student" means a user who registers to find and take lessons or courses.
"Teacher" means an independent individual who offers tutoring through the Platform.
"Education Company" means an organisation (school, academy, language centre or similar) that registers to publish and manage courses and staff.
"Content" means any text, images, video, listings, messages or other materials submitted to or made available through the Platform.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an Account. A minor may only use the Platform under the supervision and with the consent of a parent or legal guardian, who accepts these Terms on the minor's behalf.

3.1 Registration & email verification

You agree to provide accurate, current and complete information when registering and to keep it up to date. Student and Teacher accounts are activated by setting a password through a secure link sent to the registered email address; you may not register with an email address you do not own or control. Education Company accounts may require additional verification before approval.

3.2 Account security

You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorised use. You may not share, sell or transfer your Account.

Fleynex provides a marketplace and tools that allow Students, Teachers and Education Companies to discover one another and communicate. Unless expressly stated otherwise, Fleynex is not a party to any agreement, lesson, course or transaction between users, does not employ Teachers, and does not deliver the educational services itself.

We do not guarantee the quality, qualifications, legality or suitability of any Teacher, Education Company, Student, lesson or course. Any reference to verification means a limited review and does not constitute an endorsement or warranty.

As a Student, you agree that:

• You will use the Platform to find lessons or courses for genuine learning purposes.
• When you post a lesson request, the information you provide (such as subject, level and budget) is visible to Teachers and Education Companies who may contact you. Do not include sensitive personal data you do not wish to share.
• Any booking, scheduling, pricing and delivery of lessons is agreed directly between you and the Teacher or Education Company. You are responsible for evaluating whether a provider is right for you.
• You will treat Teachers, staff and other users with respect and communicate in good faith.
• You will not attempt to arrange payments off-platform to avoid applicable fees where on-platform payments are offered.

As a Teacher, you agree that:

• You are an independent provider, not an employee, agent or partner of Fleynex. Nothing in these Terms creates an employment, agency or joint-venture relationship.
• All information in your profile and listings — including qualifications, experience, subjects, availability and pricing — is accurate, lawful and not misleading.
• You hold the qualifications, rights and any licences required to provide your services, and you are solely responsible for the lessons you deliver.
• You are solely responsible for declaring and paying any taxes, social contributions and other obligations arising from your activity on the Platform.
• You will respond to Students professionally, honour agreed bookings, and not discriminate unlawfully against any user.

As an Education Company, you agree that:

• You are a duly established, lawful education provider and the person registering is authorised to bind the organisation to these Terms.
• Your company profile, public website, courses and staff information are accurate and lawful, and you will keep them current. Your account may be reviewed and approved before your content becomes publicly visible.
• You are responsible for the staff members you add, for the accuracy of course details (schedule, capacity, pricing) and for delivering the courses you publish.
• You will obtain all consents required to add staff and to process the personal data of your students, and you will comply with applicable consumer-protection and education regulations.
• You are responsible for your own tax, invoicing and regulatory obligations relating to courses sold or delivered.

Where the Platform facilitates payments, fees, commissions and payout terms will be presented to you before you complete a transaction. Prices for lessons and courses are set by the relevant Teacher or Education Company. Refunds, cancellations and rescheduling are governed by the provider's stated policy together with any separate refund policy published by Fleynex. Taxes may apply depending on your location.

You retain ownership of the Content you submit. By submitting Content you grant Fleynex a worldwide, non-exclusive, royalty-free licence to host, store, display and distribute that Content as necessary to operate and promote the Platform. You represent that you have the rights to grant this licence and that your Content does not infringe the rights of others.

The Platform itself — including its software, design, trademarks and branding — is owned by Fleynex or its licensors and is protected by intellectual-property laws. You may not copy, modify, reverse-engineer or create derivative works from the Platform except as permitted by law.

You agree not to:

• Provide false, misleading or fraudulent information, or impersonate any person or organisation.
• Post unlawful, harmful, harassing, hateful, infringing or sexually exploitative content.
• Use the Platform to spam, advertise unrelated services, or harvest other users' data.
• Circumvent security, interfere with the Platform, or access it with bots or scrapers without permission.
• Solicit minors inappropriately or violate any applicable law.

Reviews must reflect genuine, first-hand experience. You may not post fake, incentivised or retaliatory reviews. We may moderate, decline to publish or remove reviews that violate these Terms, but we are not obliged to monitor all Content.

Our handling of personal data is described in our Privacy Policy. By using the Platform you consent to that processing. When you communicate with other users, you share certain profile information with them as needed to provide the service.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Fleynex does not warrant that the Platform will be uninterrupted, error-free or secure, nor that any provider or user will meet your expectations.

To the maximum extent permitted by law, Fleynex shall not be liable for any indirect, incidental, special or consequential damages, or for any loss arising from your dealings with other users or from lessons or courses arranged through the Platform. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13.1 Indemnification

You agree to indemnify and hold Fleynex harmless from any claims, damages or expenses arising from your Content, your use of the Platform, or your breach of these Terms or of any law.

You may stop using the Platform at any time. We may suspend or terminate your Account, or remove Content, if you breach these Terms, create risk or legal exposure, or for prolonged inactivity. Provisions that by their nature should survive termination (such as content licences, disclaimers and limitations of liability) will continue to apply.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which Fleynex is established, without regard to conflict-of-law rules, and subject to any mandatory consumer-protection rights available to you in your country of residence.
